Distance Sales Agreement (“Agreement”)

This Distance Sales Agreement (“Agreement”) governs the rights and obligations of the parties regarding the remote sale and provision of digital services/subscriptions offered via the digital platform www.eenrat.com (“Portal”).
1. Parties
1.1. SELLER / SERVICE PROVIDER: İlhan Gümüş

1.2. BUYER (“User”): Any natural or legal person who creates an account and/or purchases a paid plan via the Portal. A person acting on behalf of a legal entity declares that they are duly authorized to represent such entity.
2. Subject of the Agreement
The subject of this Agreement is to define the principles regarding the sale of digital assessment, scoring, reporting, and subscription services offered via the Portal, the collection of fees, and the digital performance of the service (activation of access).
3. Main Characteristics of the Service
- The service consists of access to a digital platform and the right to use modules within the selected plan.
- There is no physical delivery; “delivery” is deemed completed upon activation of access.
- Plan scope, duration, fees, and any applicable limits are specified on the purchase screen.
4. Price and Payment
The service fee is the amount specified on the purchase screen. Payment is processed via iyzico and/or banks. Authorization/cancellation/refund processes may be subject to the rules of the payment provider.
5. Performance (Delivery) and Activation of Access
Upon successful payment, access to the plan is activated immediately or within a maximum of 24 hours. In case of technical delays, the user may notify via support channels.
6. Right of Withdrawal and Refund
Portal services are primarily digital services intended for businesses (B2B). If the user acts as a consumer and the right of withdrawal applies under applicable legislation, such right may be limited or terminated once the performance of the digital content/service has commenced. Mandatory statutory rights remain reserved.
7. User Obligations
- Provide accurate information during registration and payment processes,
- Ensure account security and not share passwords with third parties,
- Use the Portal in compliance with applicable laws and this Agreement.
8. Force Majeure
Events beyond the control of the parties, such as natural disasters, cyberattacks, infrastructure/hosting outages, and decisions of public authorities, shall be considered force majeure. In such cases, performance obligations may be temporarily suspended.
9. Governing Law and Dispute Resolution
This Agreement is governed by the laws of the Republic of Türkiye. In case of disputes, İzmir (Karşıyaka) Courts and Enforcement Offices shall have jurisdiction. Mandatory legal provisions remain reserved.
10. Entry into Force
The user shall be deemed to have accepted this Agreement electronically upon completing the payment process via the Portal.
